1. Acceptance of Terms
By accessing or using Devicely RMM ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Devicely RMM is a Remote Monitoring and Management (RMM) platform that enables you to:
- Monitor and manage Windows devices remotely
- Deploy software and execute commands on managed devices
- Access devices remotely through secure connections
- Track device inventory, software, and security status
- Integrate with third-party security and management tools
The Service is provided on a subscription basis and may be subject to usage limits based on your plan.
3. User Accounts
3.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibility
You are responsible for:
- All activities that occur under your account
- Maintaining the security of your account credentials
- Notifying us immediately of any unauthorized access
- Ensuring compliance with these Terms by all users in your tenant
3.3 Multi-Tenant Accounts
If you are a Managed Service Provider (MSP) managing multiple clients, each client operates as a separate tenant with isolated data. You are responsible for ensuring proper access controls and compliance for all tenants under your management.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to systems or data
- Interfere with or disrupt the Service or servers
- Use the Service for illegal or unauthorized purposes
- Impersonate any person or entity
- Collect or harvest information about other users
- Use automated systems to access the Service without permission
We reserve the right to suspend or terminate accounts that violate these terms.
5. Agent Installation and Device Management
By installing the Devicely RMM agent on a device, you represent and warrant that:
- You have the legal right and authority to install and manage the agent on the device
- You have obtained all necessary consents from device owners and users
- The device is owned by you, your organization, or a client who has authorized you to manage it
- You will comply with all applicable privacy laws and regulations
You are solely responsible for ensuring that agent installation and device management comply with applicable laws, including data protection and privacy regulations.
6. Subscription and Payment
6.1 Subscription Plans
The Service is offered on a subscription basis with pricing based on the number of managed devices. Pricing details are available on our website and may be updated from time to time.
6.2 Payment Terms
Subscription fees are billed annually in advance. You agree to pay all fees associated with your subscription. Failure to pay may result in suspension or termination of your account.
6.3 Refunds
Refund policies are determined on a case-by-case basis. Contact support for refund requests.
7. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Devicely RMM and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of your data. By using the Service, you grant us a license to use, store, and process your data solely for the purpose of providing the Service.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining appropriate security measures on your managed devices.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- System updates or upgrades
- Technical issues or failures
- Force majeure events
We are not liable for any damages resulting from Service unavailability.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVICELY RMM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
- Damages resulting from use or inability to use the Service
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Devicely RMM, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.
12. Termination
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- At our sole discretion, with or without cause
Upon termination, your right to use the Service will cease immediately. We may delete your data after a reasonable retention period.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through appropriate legal channels.
